These Terms and Conditions ("Promotion Terms") set out the terms of the offer made by AFT US LLC ("Aspire", "we", "us") to you, the US business entity. The agreement under these Promotion Terms is solely between you and Aspire.

By participating, you agree to be bound by these Promotion Terms, the Aspire Terms of Service, Acceptable Use Policy, Privacy Policy, and any other agreements between you and Aspire (collectively, the "Terms"). The Aspire Business Account is subject to additional terms and conditions.

Aspire may update these Promotion Terms at any time by posting a revised version. Rewards are subject to change or elimination at any time. Continued participation in the offer constitutes your agreement to any updated Terms. You may opt out at any time by emailing support@aspireapp.com.

1. Eligibility

1. use the referral link provided by Aspire’s affiliate partner;
2. is incorporated in the United States; and
3. has never previously maintained an Aspire account.

2. Promotion Mechanics

1. Eligible Customers will be entitled to a USD$200 cash reward (the “Reward”) upon successful account opening and making a minimum deposit of USD$1,000 into their Aspire account, within 30 days from the date of account opening (the “Requirements”).
2. The Reward will be credited to the Eligible Customer’s Aspire account in the following month after the Eligible Customer fulfils the Requirements.
3. One Reward is available per Eligible Customer entity.
4. To receive the Reward, the Eligible Customer’s Aspire account must remain active and in good standing at the time of crediting.

3. Promotion Period

1. This Promotion begins on the Effective Date and continues until cancelled or withdrawn by Aspire at its sole and absolute discretion. To qualify, the relevant Requirements must be met before the Promotion is cancelled or withdrawn.

4. Tax Considerations

1. You are solely responsible for reporting and paying all taxes applicable to Rewards you receive under this offer. If you earn USD $600 or more in rewards across several Aspire promotions in a calendar year, Aspire may be required to collect additional tax documentation from you (such as a W-9 or W-8BEN-E) and to file relevant tax documents (e.g., Form 1099-MISC or Form 1042-S) with the IRS or other applicable tax authorities, including through a third-party provider.
2. If you do not provide the required tax documentation, Aspire may limit your total Rewards to less than USD $600 per calendar year. Aspire does not provide tax advice. You are responsible for any tax liability arising from participation in this offer.

5. Account Standing

1. Your Aspire US Business Account must remain open and in good standing throughout the offer period. Aspire reserves the right to withhold, condition, restrict, or revoke the Reward if your account is not in good standing or if Aspire determines, in its sole discretion, that you have abused or misused the offer or violated any of the Terms.

6. General Terms

1. This Promotion is exclusive and cannot be used in conjunction with any other promotions, incentives or partnership offers. If another promotion applies to you, you will no longer be eligible for this Promotion.
   
   
2. Modification and Termination. Aspire may, at any time and at its sole and absolute discretion, terminate, or withdraw the Promotion and/or amend any of these Promotion Terms and Conditions (including but not limited to varying the promotional mechanics under this Promotion) without prior notice or reason, and all Eligible Customers who participate or are participating in the Promotion shall be bound by such amendments.Termination of the Aspire Terms of Service will also immediately terminate these Promotion Terms.
   
   
3. Aspire’s Determination. Aspire reserves the right in its sole and absolute discretion to determine all matters arising out of or in connection with the Promotion, including whether an Aspire customer qualifies for the Reward, and Aspire’s decision shall be final and no appeal will be entertained.
   
   
4. Fraud and Abuse. Aspire reserves the right to ban or exclude an Eligible Customer from this Promotion if any fraudulent or suspicious activities are detected.
   
   
5. Disputes and Errors. You are responsible for verifying that the Reward credited to your Aspire US Business Account is correct. If you believe there is an error, you must notify Aspire's customer support team at support@aspireapp.com within 60 days of the Reward being reflected (or expected to be reflected) in your account. Failure to notify Aspire within this period will result in forfeiture of your right to contest the Reward, except where prohibited by applicable law.
   
   
6. Release of Liability. To the maximum extent permitted by applicable law, you agree to release Aspire from all liability arising from your participation in this offer, including any third-party claims.
   
   
7. No Third-Party Bank Involvement. This offer is administered solely by Aspire and not by any third party, including the issuing bank of any Aspire commercial card or the bank provider of the Aspire Business Account. All disputes relating to this offer are to be resolved between you and Aspire
   
   
8. Restrictions on Promotion. Except for the approved Aspire affiliate partners through whom this Promotion is offered, you must not promote or share this offer through any of the following channels without Aspire's prior written consent: bots or incentivised traffic sources; discount code or affiliate coupon websites; or paid advertising platforms (e.g., Google Ads, Facebook Ads). This offer is personal to you and may not be transferred or reassigned.
9. Severability. If any provision of these Promotion Terms is found to be invalid, unlawful, void, or unenforceable, the remaining provisions shall continue in full force and effect.
   
   
10. Waiver. Aspire's failure to enforce any right or remedy under these Promotion Terms shall not be construed as a waiver of those rights or any other rights.
    
    
11. Precedence. These Promotion Terms are to be read together with the Terms of Service, the relevant Agreement(s), Aspire's Privacy Policy, and Acceptable Use Policy. In the event of any inconsistency, these Promotion Terms shall prevail only to the extent of such inconsistency. In the event of any inconsistency between these Promotion Terms and any marketing or promotional materials, these Promotion Terms shall prevail to the extent of such inconsistency.
    
    
12. Governing Law. These Promotion Terms and any dispute related thereto shall be governed by and construed in accordance with the laws of the State of Delaware and applicable federal law, without regard to conflict of laws principles. Any dispute arising from these Promotion Terms shall be resolved in accordance with the Aspire Business Account Agreement, including the applicable law.
