The Aspire US Startup Rewards Terms ("Startup Rewards Terms") are incorporated into and made a part of the Aspire Terms of Service between you and AFT US LLC ("Aspire"). These Startup Rewards Terms apply to Aspire’s US Startup Rewards Program (the “Program”). By participating in the Program, you agree to be bound by these Startup Rewards Terms, the Aspire Terms of Service, Acceptable Use Policy, Privacy Policy and any other agreements with Aspire or its affiliates (combined, the “Terms”).
Aspire may update these Startup Rewards Terms with or without notice to you by posting an updated version at any time. Reward payouts, as further defined below as “Startup Rewards”, are subject to changes, including elimination, at any time. Continued participation in the Program, which is reflected by continued use of the Aspire Secured Commercial Charge Card and Aspire Business Account, after any change, constitutes your agreement to be bound by any such changes. Some Rewards may have additional terms and conditions.

To be eligible for the Program, your Aspire Business Account must be open and in good standing. Any additional accounts opened with Aspire, such as the Aspire Secured Commercial Charge Card, must also remain in good standing. If your Aspire Business Account is not in good standing for any reason, or we determine in our sole discretion that you are abusing or misusing the Program or have otherwise violated any Terms, you will no longer be eligible for the Program. We may condition, restrict, limit, or revoke Rewards in our sole discretion.
Eligible business customers who are referred to Aspire US (“Referred Business”) that meet certain eligibility requirements as described below may be eligible to receive a Reward payout. A “Referred Business” is a business that meets the following criteria:
The business has not previously registered with Aspire US or any Aspire affiliate (Singapore, Hong Kong, etc.);
• The Referred Business must register with Aspire using the Referrer’s unique code or specific log-in link. This is critical so we can track you as a Referred Business; and
• Complete all required “Qualifying Event(s)” within the first 90 days after account opening "Eligibility Period":
• The Referred Business must successfully complete the verification and onboarding process within 30 days of starting their application; and
• The Referred Business must complete any additional Campaign-Specific Requirements (defined below) like holding a minimum balance or spending a minimum amount via card.
Verbal referrals will not be accepted. Aspire reserves the right, in its sole discretion, to determine the original lead source.

Startup Reward Payout
Referred Businesses that complete all Qualifying Events will earn a startup reward (“Startup Reward”). Startup Reward amounts will vary, depending on the campaign that is in effect at the time of the referral.
Startup Rewards will be credited to the Referred Business’s primary Aspire Business Account, typically within 5 business days of the month following the end of the Eligibility Period.
Aspire may withhold Startup Rewards if it believes there was an error.

Tax Considerations
Businesses are solely responsible for reporting and remitting all taxes in connection with Rewards received in connection with the Program. However, businesses that earn $600 USD or more per year in Rewards will be required to provide additional tax documents to Aspire, as those payouts may be deemed miscellaneous income (i.e., requiring a 1099-MISC filing). As such, Aspire might be required to send to businesses and file with the IRS and other relevant tax agencies, relevant tax documents (1099-MISC or Form 1042-S) and may do so via a third-party service provider.
Businesses that fail to provide applicable tax documents may be limited to earning less than $600 in bonus payouts per calendar year.
Aspire does not provide any tax advice and businesses are responsible for any tax liability related to participation in the Program.

| 2.1 |
Modifications and Termination of the Program
Aspire reserves the right to modify these Startup Rewards Terms or terminate the Program at any time, in its sole discretion, without notice. If the Aspire Terms of Service are terminated, these Startup Rewards Terms will also immediately terminate. |
| 2.2 | Release of Liability To the maximum extent permitted by law, you agree to release Aspire from all liability for your participation in the Program. You further agree to release Aspire from liability for third-party claims in accordance with these Startup Rewards Terms. |
| 2.3 | Severability and Survival If any provision of these Startup Rewards Terms is found to be invalid, unlawful, void, or unenforceable, the Startup Rewards Terms’ remaining provisions shall remain in full force and effect. |

2.4 |
Waiver You agree that if Aspire does not enforce any of its legal rights or remedies under these Startup Rewards Terms, or any other legal rights or remedies Aspire has under applicable laws, it shall not be construed as a waiver of those rights or remedies or any other rights in any way whatsoever. |

2.5 |
No Issuing Bank Involvement
You understand and agree that these Startup Rewards Terms are solely between you and Aspire and that the Program is offered and administered by Aspire and not any other third party, including the issuing bank of the Aspire Secured Commercial Card and the bank provider of the Aspire Business account. You understand and agree that any and all disputes related to the Program or any losses associated with your participation in the Program are to be resolved between you and Aspire, and not the issuing bank of the Aspire Secured Commercial Card and the bank provider of the Aspire Business account.

Disputes or Errors
You are responsible for making sure the Rewards reflected in your Aspire Business Account are correct. If you believe your earned Rewards are not reflected accurately, you must contact Aspire’s customer support team at support@aspireapp.com. You must notify Aspire of any errors or discrepancies within 60 days of such information being made available, i.e., reflected on your Aspire Business Account balance. If error notification is not made within 60 days, you forfeit the right to contest Rewards earned, except to the extent such forfeiture is prohibited by applicable law.

Governing Law
These Startup Rewards Terms and any dispute related thereto shall be governed by and construed in accordance with the laws of the State of Delaware and applicable federal law, without regard to conflict of laws principles.
Any dispute arising from these Startup Rewards Terms shall be governed by and resolved in accordance with the Aspire Deposit Account Agreement.

You must not promote Aspire or distribute referral links through any of the following without Aspire’s prior written consent: (a) traffic sources involving bots or incentivized clicks; (b) discount code or affiliate coupon websites; (c) paid advertising (e.g., Google Ads, Facebook Ads, retargeting platforms).
Referral links are intended solely for non-commercial use. Any commercial use of your referral link requires prior written approval from Aspire.
This offer cannot be combined with any other Aspire business activation offer. Only one activation offer may be applied per account.
Referral links may only be used by you directly and may not be transferred, sold, or posted on any third-party websites, blogs, social media accounts, platforms not directly controlled by you, or distributed via any channel promoting illegal, fraudulent, misleading, or deceptive activities.
| 3.1 | Fraud and Abuse Prevention Aspire employs automated and manual fraud detection systems to identify suspicious referral activity. The following activities are strictly prohibited and may result in immediate disqualification from the Program, forfeiture of all Rewards, and account suspension: • Creating fictitious or fraudulent business accounts to self-refer; • Manipulating deposit or spending activity to artificially satisfy qualifying thresholds; • Any coordinated scheme to abuse Reward payouts in a manner inconsistent with the spirit of the Program. |
