Customer Offer Terms & Conditions

1. Eligibility Criteria

To qualify for the Aspire x Stellar Promotion, applicants must meet all of the following criteria:

• 1.1. Account Requirements

The applicant must be a newly incorporated Delaware entity (LLC or C-Corp) formed through Stellar.

The entity must successfully complete the incorporation process, including state filing and receipt of the Certificate of Incorporation through Stellar’s platform.

Applicants must sign up for Aspire using the unique referral link provided by Stellar.

The applicant must be a new Aspire customer and must not have previously held an Aspire business account under the same entity or beneficial ownership.

Sole proprietorships, unregistered businesses, and non-U.S. entities are not eligible.

• 1.2. Account Requirements

Applicants must successfully open and activate a new business account provided through Aspire (AFT US LLC ).

Applicants must complete all required KYC (Know Your Customer) and KYB (Know Your Business) verification processes.

The account must remain in good standing throughout the promotional period.

• 1.3. Ineligibility

Existing Aspire customers are not eligible for this promotion.

Applicants who previously received promotional benefits under another Aspire campaign may be excluded at Aspire’s discretion.

Aspire reserves the right to determine eligibility and request supporting documentation at its sole discretion.

2. Cash Bonus

• 2.1. Qualifying Conditions
  

  A one-time USD Bonus will be credited to the eligible account upon meeting all of the following conditions:

  • • The applicant must open an eligible Aspire business account within 60 calendar days of incorporation via Stellar.
    • A minimum deposit of USD $2,000 must be made into the account, either as a single deposit or cumulative deposits within 60 calendar days of incorporation via Stellar.
    • The account must maintain a minimum daily balance of USD $2,000 for at least 60 consecutive calendar days (“Hold Period”).
      
      
• 2.2. Cash Bonus Amount
  • There are 2 benefits of this promotion: incorporation service fee refund and Cash Bonus Amount
  • The Cash Bonus amount will be dependent on whether you incorporate as a C-Corp or a LLC
  • The incorporation service fee will be refunded
  • The Cash Bonus amount is an additional $550 that will be deposited into your Aspire account
    

• 2.3. Bonus Credit
  • The Cash Bonus will typically be credited within 30 business days after completion of the Hold Period and verification of eligibility requirements.
  • The bonus will be credited in USD.
  • The bonus is non-transferable and may not be exchanged outside the Aspire platform.
    

• 2.4. Forfeiture
  • The cash bonus is limited to one (1) award per legal entity and beneficial ownership group.
  • Aspire reserves the right to withhold, reverse, or recover the bonus where:
    • account activity is fraudulent, abusive, or misleading;
    • qualifying conditions are not maintained; or
    • the participant violates these Terms or Aspire’s Terms of Service.

3. Incorporation & Compliance Package

The incorporation services provided by Stellar include:

• Delaware entity formation (LLC or C-Corp);
• First-year annual compliance package, including:
  • Registered Agent service; and
  • Franchise Tax filing support;
    
• Access to Stellar’s digital compliance platform.

Additional terms and conditions from Stellar may apply separately.

4. General Terms

• 4.1. Promotional Period

The promotion is valid for eligible applicants onboarded during the promotional period communicated by Aspire and/or Stellar.

Aspire reserves the right to extend, shorten, suspend, or terminate the promotion at any time.

• 4.2. Combination with Other Offers

This promotion may not be combined with other Aspire promotional offers unless expressly approved by Aspire in writing.

• 4.3. Modifications

Aspire reserves the right to amend these Terms and Conditions at any time. Material changes may be communicated via email, website notice, or in-app notification.

Continued use of the account after such notice constitutes acceptance of the updated Terms.

• 4.4. Fraud and Misuse

Aspire reserves the right to disqualify any participant and reverse promotional benefits where fraud, abuse, manipulation, or misuse is suspected.

Any attempt to exploit the promotion contrary to its intended purpose may result in immediate disqualification.

• 4.5. Liability

To the fullest extent permitted by applicable law, Aspire shall not be liable for indirect, incidental, special, or consequential losses arising from participation in this promotion.

Nothing in these Terms excludes liability for fraud, gross negligence, wilful misconduct, or any liability that cannot be excluded under applicable law.

• 4.6. Governing Law

These Terms and Conditions are governed by the laws of the State of Delaware, without regard to conflict of law principles.

• 4.7. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

• 4.8. Data Privacy

Personal and business data collected in connection with this promotion will be processed in accordance with Aspire’s Privacy Policy.

• 4.9. Dispute Resolution

Participants agree to first attempt resolution of disputes through good-faith discussions with Aspire by contacting support@aspireapp.com.
